TERMS OF USE Last updated: September 2026 1. ABOUT THESE TERMS These Terms of Use ("Terms") govern your use of the Recopal platform (the "Platform"). By creating an account or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform. How we handle your personal data is described separately in our Privacy Policy, and our legal-entity details are set out in our Legal Notice. 2. WHAT RECOPAL DOES Recopal connects Members and Partners so that personal referrals can be shared safely. - A "Member" browses companies in their region and requests a referral for a service they want to join. - A "Partner" lists referral programmes for companies they genuinely use and fulfils requests from Members by sharing their personal referral details. The same person may act as both a Member and a Partner. Recopal is not a party to the underlying relationship between you and any third-party company; we provide the Platform that introduces the two parties to a referral. 3. ELIGIBILITY AND ACCOUNTS You must be at least 18 years old and able to enter into a binding contract to use the Platform. You must provide accurate account information and keep your login credentials secure. You are responsible for activity that takes place under your account. 4. REGIONS The Platform operates on a per-region basis. Members can request referrals only for companies in their active region, and are matched only with Partners in the same region. Rewards, fees and currency are determined by the region of the company concerned. 5. BECOMING A PARTNER AND LISTING PROGRAMMES 5.1 To act as a Partner you must complete the Partner onboarding, which includes accepting these Terms. 5.2 Companies and referral programmes are reviewed and must be approved by Recopal before they become visible on the Platform. We may decline or remove any company or programme at our discretion, for example where it is inaccurate, misleading or breaches these Terms. 5.3 When you create a referral programme you set the reward offered to each party (either a cash amount or a percentage discount). You are responsible for ensuring the rewards and referral details you list are accurate, lawful and consistent with the terms of the company you are referring to. 6. REFERRAL REQUESTS AND MATCHING 6.1 When a Member requests a referral for a company, the Platform assigns an eligible Partner. Assignment is automated and weighted; there is no guarantee that any particular request will be matched or accepted. 6.2 A Partner may decline a request. Repeatedly declining requests may reduce a Partner's likelihood of being assigned future requests. 6.3 A Partner's identity and referral details are disclosed only to the Member matched to them for a specific request, and never displayed publicly. 7. PLATFORM FEES, INVOICES AND PAYMENT 7.1 When a request is accepted, Recopal charges a fixed platform fee to each party. The fee amount for each party is set by Recopal when the referral programme is approved and is shown before you proceed. The fee is a fixed amount — it is not a percentage of any reward. 7.2 A formal invoice is issued to each party when a request is accepted. Invoices are due within the period stated on the invoice (currently 30 days from issue). 7.3 Payments are processed by our third-party payment provider. You authorise us and our provider to collect the fees due from you. 7.4 A Partner who has an overdue invoice may be prevented from accepting new requests until the invoice is settled. 7.5 Except where required by law, platform fees are non-refundable once a request has been accepted. 8. REWARDS BETWEEN MEMBERS AND PARTNERS Rewards are provided by the referred company and/or arranged directly between the Member and the Partner. Recopal does not pay, guarantee or hold rewards. Each party can confirm on the Platform when they have received their reward; a request is completed once both parties confirm. If something goes wrong, either party may report an issue for review. 9. ACCEPTABLE USE You agree not to: - provide false, misleading or fraudulent listings, requests or referrals; - use the Platform for any unlawful purpose or in breach of a company's own terms; - attempt to circumvent the fee, matching or approval mechanisms; - harass, harm or impersonate others, or create fake accounts; - attempt to gain unauthorised access to the Platform or scrape it using automated tools. 10. CONTENT YOU PROVIDE You retain ownership of the content you submit, and grant Recopal a worldwide, non-exclusive licence to host, display and use that content as needed to operate the Platform. All Platform software, design and branding remain the property of Recopal and its licensors. 11. SUSPENSION AND TERMINATION You may close your account at any time. We may suspend or terminate access where you breach these Terms, where required by law, or to protect the Platform and its users. Outstanding invoices remain payable after termination. 12. DISCLAIMERS The Platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, and we are not responsible for the acts, omissions or referral outcomes of any Member, Partner or third-party company. Referrals do not constitute professional advice. 13. LIABILITY Nothing in these Terms limits liability that cannot be limited by law. Subject to that, and to the maximum extent permitted by law, Recopal is not liable for indirect or consequential loss, or for loss of profit, data or goodwill arising from your use of the Platform. 14. CHANGES TO THESE TERMS We may update these Terms from time to time. Where changes are material, we will notify you. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. 15. GOVERNING LAW These Terms are governed by the laws of the jurisdiction in which Recopal is established, as stated in our Legal Notice, without prejudice to any mandatory consumer-protection rights you have in your country of residence. 16. GENERAL If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. These Terms, together with the Privacy Policy and Cookie Policy, form the entire agreement between you and Recopal regarding the Platform.
